We strategically operate in the restructuring and acquisition of assets in challenging financial contexts, advising our clients in identifying and enabling opportunities within economically or corporately stressed environments. Our work ranges from renegotiating complex transactions to structuring debt, acquiring assets in judicial recovery or bankruptcy, and handling specialized litigation.

We have experience handling both extrajudicial and judicial restructuring processes, including operations involving unconventional financing and guarantees. We support the acquisition of assets and isolated productive units (UPIs) in recovery or bankruptcy proceedings, as well as the renegotiation of M&A structures, joint ventures, and private equity investments impacted by changing market conditions.

We develop specific buy-and-sell structures in contentious corporate environments, such as shutgun and and buy/sell mechanisms,We also advise on the issuance of new shares and the conversion of financial instruments in contexts of shareholder dissent. Additionally, we work on transactions involving non-performing loans (NPLs), structuring the assignment, enforcement, and recovery of these credits from a legal perspective, with a focus on liquidity and return.
